Joyce has an in-depth knowledge of project finance, PPPs and asset finance. She has been engaged in infrastructure projects across the spectrum of sectors (including energy, housing, education and others). Joyce is able to draw on her experience to provide advice to clients on the structuring, negotiation and documentation of complex financing transactions and achieve the desired commercial outcome.
Key highlights include advising:
- Allied Irish Bank plc
- on all issues connected with the financing of Energia’s High Efficiency Combined Heat and Power anaerobic digestion CHP plant at Huntstown.
- in connection with its project financing of the under-construction Derrysallagh Wind Farm, a 32MW ‘REFIT 2’ onshore wind farm project located in Co. Sligo, Ireland comprising 10x GE 103 3.2MW turbines which benefits from a 13-year ‘REFIT 2’ support.
- Bank of Ireland and the European Investment Bank (EIB) on the financing of Cloncreen Wind Farm. This is one of the first ‘RESS 1’ windfarm projects to be brought to market and the first to be project-financed. As such, the funding terms have to be developed to take account of the new RESS regime.
- Housing Finance Agency:
- acting as counsel for HFA and manage the legal process for the lending programme to Approved Housing Bodies. Financial close for 198 housing schemes was achieved in 2022.
- acted for the HFA in connection a €110m secured loan to UCD for the new Roebuck student residence campus which comprises providing 835 student residences/bedrooms, a c. €45m secured loan to University College Cork and a €12m secured loan to Trinity College Dublin for the development of new student residences on each campus comprising of approx. 475 student residences / bedrooms in total.
- The Lenders (Rabobank, ING and ISIF) on the project-financing of a continental cheese manufacturing facility being developed by a Tirlan (formerly Glanbia) /Royal A-ware joint venture at Belview, Co. Kilkenny.
- Macquarie consortium in respect of Social Housing Bundle 1 PPP and Higher Education Bundle 1 PPP.
- Touax Rail on secured debt-financings for its various railcar portfolios (including in connection with its Irish subsidiaries’ financing and management of assets (railcars and shipping containers) for its own account and its investors), Advised also on a significant equity external investment into one of its JV platforms.
